Abstract:
This research project is regarding the non-executive director’s (N.E.D.) role and the
comparative analysis of Pakistan’s corporate governance law regarding it with the corporate
governance laws of United States (U.S.) and especially the Delaware General Corporation
Law (D.G.C.L.). In the beginning, a detailed description of a N.E.D is given and its types,
its effect on a company’s board performance and its role in large and small business is
explained Furthermore in this research project, the idea of corporate governance is
explained, the structure of corporate governance in Pakistan is explained and the role of a
N.E.D. in Pakistan is explained while referring to the Companies Act, 2017 (C.A., 2017)
and Listed Companies (Code of Corporate Governance) Regulations, 2017 (L.C.R., 2017).
Lastly, the corporate governance structure of the U.S. is explained and the legal framework
of Pakistan regarding the N.E.D.’s role in a company is compared with the N.E.D.’s role in
the federal rules and regulations of the U.S. and the D.G.C.L.
